Application pursuant to Section 44 of The Insurance Business (Bailiwick of Guernsey) Law, 2002, as amended (the "Insurance Law")
Notice is hereby given pursuant to Section 45 (3) (a) of the Insurance Law that:-
(i) Application will be made to the Royal Court of Guernsey on 9th December 2008 at 10.15 a.m (the "Hearing") to sanction a scheme providing for the transfer of the long term insurance business of NPLL and NPIL to Pearl (the "Scheme").
(ii) Copies of the application and of the report of the Independent Actuary in support of the Scheme are currently available for inspection during office hours at the office of Collas Day, Manor Place, St Peter Port, Guernsey up to the date of the Hearing and are available without charge on request made at the same address or by contacting NPLL, NPIL or Pearl (as appropriate) using the relevant telephone number or address set out below. These documents and other related documents (including actuarial reports) are also available at www.npi.co.uk/schemeinfo and www.pearl.co.uk/schemeinfo.
(iii) Any questions or concerns relating to the proposed transfer should be referred to the Restructure Team using the telephone number or address as follows:

(iv) Any person (including any employee of Pearl Group Services Limited) who thinks that he or she would be adversely affected by the carrying out of the Scheme may attend the Hearing and express their views, either in person or by legal representative. Anyone intending to do so is asked to inform the Restructure Team in writing to the address above (quoting reference HBAN) or by contacting Collas Day (quoting reference SC/SD/4896/28) as soon as possible and preferably before 21 November 2008 setting out their grounds of objection.
(v) Any person who objects to the Scheme but does not intend to attend the Hearing may make representations about the Scheme by giving written notice of such representations to the Restructure Team in writing to the address above (quoting reference HBAN) or by contacting Collas Day (quoting reference SC/SD/4896/28) as soon as possible and preferably before 21 November 2008 setting out their grounds of objection.
