THE INSURANCE BUSINESS (BAILIWICK OF GUERNSEY) LAW, 2002, AS AMENDED (THE "INSURANCE LAW")

PRUDENTIAL HOLBORN LIFE LIMITED

THE PRUDENTIAL ASSURANCE COMPANY LIMITED
(together "the Parties")

TAKE NOTICE that the Parties intend to apply to the Royal Court of Guernsey (the "Court") on Thursday 28 October 2010 at 10:15am (the "Application") for an order under Section 44 of the Insurance Law sanctioning a scheme (the "Scheme") for the following transfers of long term insurance business (insofar as they comprise policies held by residents of the Bailiwick of Guernsey):
  1. the transfer of the whole of the long term insurance business carried on by Prudential (AN) Limited to The Prudential Assurance Company Limited ("PAC"); and

  2. the transfer of the whole of the long term insurance business carried on by Prudential Holborn Life Limited to PAC.
Copies of the Application (which contains the Scheme) and the report (the "Report") prepared by an independent actuary pursuant to section 45(2)(a) of the Insurance Law are available for inspection (and in the case of the Report, for collection) at all reasonable times at the offices of Carey Olsen at Carey House, Les Banques, St. Peter Port, Guernsey GY1 4BZ.  In addition, copies of the Report may be obtained free of charge by contacting Ruth Vaudin in writing at Carey House, Les Banques, St. Peter Port, Guernsey GY1 4BZ or by telephone on 01481727272 Monday to Friday (except bank holidays) between the hours of 9.00am to 5.00pm from the date of publication of this notice until the date on which the Application will be heard before the Court. The Report is also available on www.pru.co.uk/existingcustomer/partviitransfer.

Any policyholder or any person, including any employee of the Parties, who claims to be adversely affected by the Scheme may oppose the Application at the time of the hearing in person or by Counsel. Any person who intends to appear should give not less than two clear days" prior notice in writing of such intention, and the reasons therefor, to the Parties’ Advocates at the address set out below.
