Application pursuant to Section 44 of The Insurance Business (Bailiwick of Guernsey) Law, 2002, as amended (the "Insurance Law") for the transfer of long term insurance business from National Provident Life Limited ("NPLL") to Pearl Assurance Plc ("Pearl") (the "Scheme").

In accordance with prior publications made under the Insurance Law, the above matter has been scheduled for a hearing before the Royal Court of Guernsey on 2 February 2010 at 10.15 a.m. (the "Hearing") during which any interested party who attends will be able to make representations to the Court in respect of the Scheme.

Notice is hereby given that at the Hearing, after hearing any representations, an application will be made on behalf of NPLL and Pearl for the Hearing to be adjourned (for the purpose of sanctioning the Scheme) from 2 February 2010 to a later date to be determined by the Court.

NOTICE IS HEREBY GIVEN that the following special resolution was duly passed by way of a resolution in writing of all the shareholders of Trans-Mediterranean Estates Limited in lieu of an extraordinary general meeting signed on January 4, 2010:

“That the company be wound up summarily under the provisions of article 109 of The Companies (Alderney) Law, 1994 (the “Law”).

That David Anthony Brookland be and is hereby appointed liquidator of the company for the purpose of winding up the affairs and distributing the assets of the company in accordance with article 135 of the Law.”

All persons having claims against or indebted to the above named company are requested to send details thereof to RBC Trust Company International (Jersey) Limited at La Motte Chambers, St Helier, Jersey JE1 1BJ, within two weeks from the date of this notice.
